Consulting Terms

These Consulting Terms (“Agreement”) define the framework for all consulting engagements provided by CEO NovaPeak. By engaging our services, you agree to these terms, which are intended to ensure clarity, professionalism, and mutual accountability.

1. Scope of Services

The scope of services will be defined in a written proposal or engagement letter. Deliverables, milestones, and timelines will be mutually agreed upon before work begins.

2. Client Responsibilities

• Provide accurate, timely, and complete information required for consulting work.
• Assign a point of contact to coordinate communication and approvals.
• Ensure team availability for workshops, interviews, or feedback sessions.

3. Fees and Payment

Consulting fees are outlined in the engagement agreement or invoice. Unless otherwise agreed:

• Invoices are due within 14 days of issue.
• Late payments may incur penalties or suspension of services.
• Travel or out-of-pocket expenses will be billed separately, if applicable.

4. Project Changes

Any changes to the scope, timeline, or deliverables must be agreed upon in writing. Additional fees may apply for expanded work.

5. Confidentiality

Both parties agree to protect confidential and proprietary information shared during the engagement. Information will not be disclosed to third parties without consent, except as required by law.

6. Deliverables and Results

Deliverables are provided based on agreed timelines. While consulting aims to achieve measurable results, CEO NovaPeak does not guarantee specific business outcomes, as these depend on external factors and client implementation.

7. Termination

Either party may terminate the engagement with written notice. Fees for completed work remain payable. Prepaid but unused fees may be refunded at our discretion.

8. Governing Law

These Consulting Terms are governed by the laws of the State of Oregon, USA. Any disputes shall be resolved in the courts located in Bend, Oregon.
